Amazon to profit significantly more than VCs from Anthropic’s upcoming IPO

Anthropic, an artificial intelligence startup known for its ambitious projects, is preparing for a highly anticipated initial public offering (IPO) that is expected to create substantial wealth for investors. According to a media source, firms such as Menlo Ventures, Sequoia, Sound Ventures, and Spark Capital are projected to see significant returns, potentially reaching billions of dollars. However, an intriguing aspect of this upcoming IPO is the peculiar ownership structure outlined in Anthropic’s S-1 filing. Notably, no venture capital firm holds a 5% stake in the company, a deviation from the norm in tech IPOs where key investors typically possess considerable equity. At a staggering private valuation of 5 billion, even a modest 1% share represents nearly billion, illustrating the immense valuation scale.

Although venture capitalists may not command large percentage stakes, Anthropic has strategically sold significant shares to key partners who also supply business support. Amazon stands out as the chief financial beneficiary of the IPO, having initially pledged up to billion in 2023 to bolster Anthropic. The tech giant’s investment strategy has focused primarily on convertible notes—a form of debt that can convert into equity upon an IPO—rather than acquiring stock outright. As of June 30, Amazon holds convertible notes with an outstanding principal of .2 billion, corresponding to Anthropic’s entire debt load. Remarkably, the increasing valuation of Anthropic has made these notes extremely valuable. Amazon’s recent filings estimate the worth of these notes at approximately .9 billion.

The implications of Amazon’s investment extend beyond financial returns, as the company stands to profit significantly from Anthropic’s anticipated spending. The AI startup has pledged to invest a minimum of 0 billion on Amazon Web Services over the next decade, further solidifying the partnership.

Additionally, Google, another significant player, is projected to reap substantial benefits from the IPO as well. The search giant reportedly held a roughly 14% stake in Anthropic as of early last year, although recent rounds of funding may have diluted its position to about 8%. Google’s aggressive investment strategy has also included a billion commitment made in April, alongside securing extensive cloud service contracts with Anthropic.

As the IPO approaches, the prospect of lucrative paydays for investors remains bright. However, potential conflicts may arise, as the S-1 filing acknowledges that certain cloud providers might also compete with Anthropic’s innovations. This forthcoming IPO signals a pivotal moment in the tech landscape, not just for Anthropic but for the larger ecosystem of cloud computing and AI development.
